These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ToolWard ("Company," "we," "us," or "our"), governing your access to and use of the website at toolward.com (the "Site"), our online tools (the "Tools"), APIs, and all related services (collectively, the "Service"). Please read these Terms carefully before using the Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Disclaimer, which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By accessing, browsing, or using the Service in any manner, including but not limited to visiting the Site, using any Tool, creating an account, subscribing to a plan, or accessing our API, you confirm that:

  • You are at least 13 years of age (or 16 in the EEA), or have the consent of a parent or legal guardian.
  • You have the legal capacity to enter into a binding agreement.
  • You have read, understood, and agree to comply with these Terms, our Privacy Policy, and our Disclaimer.
  • If you are using the Service on behalf of an organisation, you have the authority to bind that organisation to these Terms.

If you do not agree to any provision of these Terms, you must immediately cease all use of the Service.

2. Description of Service

ToolWard is an online platform that provides 6,598+ free and premium browser-based tools, including but not limited to:

  • Image, video, audio, and document converters and editors
  • Financial calculators (mortgage, loan, tax, ROI, compound interest, etc.)
  • Health and medical calculators (BMI, dosage, clinical scoring, etc.)
  • Legal document generators and templates (NDA, contracts, wills checklist, etc.)
  • AI-powered content generators and analysis tools
  • Developer and programming utilities (code formatters, encoders, decoders, etc.)
  • Unit converters, text utilities, hash generators, and colour tools
  • Engineering, scientific, and mathematical calculators

Client-Side Architecture: The vast majority of our Tools execute entirely within your web browser using JavaScript and WebAssembly. Your data (files, text, inputs) is processed locally on your device and is not uploaded to our servers. Exceptions include AI-powered tools, which send prompts to third-party AI providers, and the optional session persistence feature.

We reserve the right to modify, suspend, or discontinue any part of the Service (including any Tool) at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Account Registration and Responsibilities

  • Registration: Many Tools are available without an account. Some features (AI tools, session persistence, favourites, ratings, subscriptions) require registration.
  • Accuracy: You agree to provide accurate, current, and complete information during registration and to update it as necessary.
  • Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at help@toolward.com if you suspect unauthorised access to your account.
  • One Account Per Person: Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits, bans, or subscription restrictions is prohibited.
  • Account Suspension: We reserve the right to suspend or terminate your account at our sole discretion if we reasonably believe you have violated these Terms.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You shall NOT:

  • Use the Service for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our systems and networks
  • Use automated scripts, bots, scrapers, crawlers, or similar automated means to access or interact with the Service without our prior written consent (search engine indexing is permitted)
  • Interfere with, disrupt, or impose an unreasonable load on the Service's infrastructure
  • Upload, transmit, or distribute viruses, malware, worms, trojans, or other harmful code
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any Tool
  • Resell, sublicense, or commercially redistribute the Service or any Tool without our prior written authorisation
  • Use AI tools to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity, or falsely claim affiliation with any person or entity
  • Use the Service to collect personal information about other users without their consent
  • Circumvent, disable, or otherwise interfere with security-related features of the Service, including guest usage limits
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Service, and may subject you to civil and/or criminal liability.

5. Tool Output Disclaimer — Not Professional Advice

IMPORTANT: ALL TOOL OUTPUTS, RESULTS, CALCULATIONS, CONVERSIONS, GENERATED CONTENT, AND INFORMATION PROVIDED THROUGH THE SERVICE ARE FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND. YOU MUST NOT RELY ON TOOL OUTPUTS AS A SUBSTITUTE FOR PROFESSIONAL CONSULTATION, JUDGMENT, OR DECISION-MAKING.

Without limiting the generality of the foregoing, the following specific disclaimers apply:

5.1 Financial and Tax Tools

Our financial calculators (including but not limited to mortgage calculators, loan amortization tools, tax estimators, ROI calculators, compound interest calculators, retirement planners, and investment tools) provide estimates and approximations only. They do not constitute financial advice, investment advice, tax advice, or accounting advice. Tax laws and financial regulations vary by jurisdiction and change frequently. You should always consult a certified public accountant (CPA), licensed financial advisor, tax professional, or other qualified expert before making financial decisions based on any calculations from our Tools.

5.2 Health and Medical Tools

Our health-related tools (including but not limited to BMI calculators, calorie calculators, dosage calculators, clinical scoring tools, symptom checkers, and health risk assessments) are not medical advice and are not a substitute for professional medical diagnosis, treatment, or care. These tools are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Results may not account for individual health factors, comorbidities, medications, or other variables. 5.3 Legal Tools

Our legal-related tools (including but not limited to NDA generators, contract templates, privacy policy generators, terms of service generators, will checklists, and legal document builders) generate general templates and educational examples only. They do not constitute legal advice, and their use does not create an attorney-client relationship. Generated documents may not comply with the laws of your jurisdiction and may not address your specific legal needs. Always consult a qualified, licensed attorney in your jurisdiction before using any generated legal document for actual legal purposes.

5.4 Engineering and Construction Tools

Our engineering and construction calculators provide estimates only and are not a substitute for professional engineering analysis, structural assessments, or licensed engineering advice. Results must not be used for actual construction, structural design, or safety-critical applications without independent verification by a licensed professional engineer.

5.5 Dosage and Pharmaceutical Tools

Dosage calculators and pharmaceutical tools on the Service are educational reference tools only. They are not prescriptions and must never be used as the sole basis for administering any medication.   • AI-generated content may contain factual errors, hallucinations, biases, outdated information, or inappropriate content.
  • File conversion tools operate on a best-effort basis; output quality and fidelity may vary depending on input file format, complexity, and size.

You are solely responsible for independently verifying any Tool output before relying on it for any purpose. We shall not be liable for any losses, damages, or adverse consequences resulting from reliance on Tool outputs.

Your use of the Service, including any Tools that provide information related to medical, legal, financial, tax, accounting, engineering, or any other professional field, does not create any professional-client relationship between you and ToolWard, including but not limited to:

  • No doctor-patient relationship

  • No accountant-client relationship
  • No financial advisor-client relationship
  • No engineer-client relationship
  • No pharmacist-patient relationship
  • No therapist-client or counsellor-client relationship

ToolWard is a technology platform that provides software tools. We are not a medical practice, law firm, accounting firm, financial advisory firm, engineering firm, or any other type of professional service provider. No employee, contractor, or affiliate of ToolWard is providing professional advice to you through the Tools.

8. AI-Powered Tools — Additional Terms

In addition to the general Tool disclaimers, the following terms apply specifically to AI-powered Tools:

  • AI Limitations: AI-generated content is produced by machine learning models and may contain errors, inaccuracies, biases, hallucinations, outdated information, or inappropriate content. AI outputs should always be reviewed and verified by a human before use.
  • No Guarantees: We do not guarantee the quality, accuracy, completeness, safety, legality, or suitability of any AI-generated output for any purpose.
  • Data Transmission: AI tool inputs are transmitted to third-party AI providers (currently OpenAI and Anthropic) for processing. See our Privacy Policy for details.
  • Usage Limits: AI tools are subject to daily usage limits (which may vary by account type) and rate limiting. Exceeding these limits may result in temporary restriction of access.
  • Prohibited Uses: You must not use AI tools to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, sexually explicit (involving minors), discriminatory, or that infringes on the intellectual property rights of others.
  • Responsibility for Output: You are solely responsible for how you use AI-generated content. You must ensure that any AI-generated content you publish, distribute, or rely upon complies with all applicable laws and does not infringe on the rights of any third party.
  • No Intellectual Property Guarantee: AI-generated content may inadvertently resemble existing copyrighted works. We do not guarantee that AI outputs are free from intellectual property claims.

9. Intellectual Property

9.1 Our Intellectual Property

The Service and its entire contents, features, functionality, and design (including but not limited to source code, tool bundles, software, algorithms, text, graphics, logos, icons, images, audio/video, data compilations, and the arrangement thereof) are owned by ToolWard, its licensors, or other providers and are protected by copyright, trademark, trade secret, and other intellectual property laws. The ToolWard name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ToolWard.

9.2 Your Use Rights

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal or internal business purposes, subject to these Terms. You may use Tool outputs (converted files, calculated results, generated text) for both personal and commercial purposes, unless otherwise restricted. This licence does not include the right to copy, modify, distribute, sell, or reverse-engineer the Service, its code, or any Tool bundle.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback without any obligation to you.

10. User-Generated Content

The Service allows you to post, submit, or display content including blog comments, tool ratings, reviews, and community tips ("User Content"). By submitting User Content, you:

  • Grant ToolWard a non-exclusive, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, modify, display, distribute, and create derivative works of your User Content in connection with operating and improving the Service.
  • Represent and warrant that you own or have the necessary rights to submit the User Content and to grant the licence above.
  • Represent that your User Content does not violate any law, infringe any third-party rights, or contain any material that is defamatory, obscene, illegal, or otherwise objectionable.
  • Acknowledge that you retain ownership of your User Content, subject to the licence granted herein.

We reserve the right to remove any User Content at our sole discretion, without notice, for any reason including but not limited to violations of these Terms or applicable law.

11. Subscriptions, Billing, and Payments

  • Paid Plans: Certain features of the Service are available only through paid subscription plans. Plan details, pricing, and features are described on our pricing page.
  • Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). All prices are listed in Nigerian Naira (NGN) unless otherwise stated. Prices may be subject to applicable taxes.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing period.
  • Payment Processing: Payments are processed by third-party payment providers (Paystack, Flutterwave, or Stripe). By purchasing a subscription, you agree to the payment processor's terms of service.
  • Price Changes: We reserve the right to change subscription prices with at least 30 days' prior notice. Price changes will take effect at the start of your next billing period following the notice.
  • Failed Payments: If a payment fails, we may suspend access to paid features until the payment issue is resolved. We are not liable for any interruption of paid features due to payment failures.

12. Wallets and Credits

  • Credit System: ToolWard offers a wallet-based credit system. Credits can be purchased and used for certain premium features, including AI tool usage.
  • Non-Refundable: Purchased credits are non-refundable except as required by applicable law or at our sole discretion.
  • Non-Transferable: Credits are non-transferable and may only be used by the account holder who purchased them.
  • Expiration: Credits may be subject to expiration as specified at the time of purchase. We will provide reasonable notice before credits expire.
  • No Monetary Value: Credits have no cash value and cannot be exchanged for cash, except as required by applicable law.
  • Account Termination: If your account is terminated for violation of these Terms, any remaining credits will be forfeited.

13. Refund Policy

Refund requests are evaluated on a case-by-case basis, subject to the following guidelines:

  • Subscription Refunds: If you are unsatisfied with a paid subscription and request a refund within 7 days of initial purchase (not renewal), we may issue a full refund at our discretion. Refund requests after 7 days will generally not be honoured, except where required by applicable law.
  • Credit Refunds: Purchased credits are generally non-refundable. If credits were purchased in error (e.g., duplicate charge, system malfunction), we will investigate and issue a refund where appropriate.
  • Processing Time: Approved refunds will be processed within 14 business days to the original payment method.
  • Chargebacks: If you initiate a chargeback or payment dispute without first contacting us, we reserve the right to suspend your account pending resolution.

14. Embed Terms

ToolWard may permit third parties to embed certain Tools on their own websites ("Embedding"). If you embed ToolWard Tools:

  • You must not modify, alter, or obscure the Tool's functionality or ToolWard branding.
  • You must not frame the embedded Tool in a misleading manner that implies ownership or endorsement.
  • You are solely responsible for ensuring that your use of embedded Tools complies with all applicable laws, including data protection laws, in your jurisdiction.
  • ToolWard reserves the right to disable embedding for any Tool or any third-party site at any time without notice.
  • The disclaimers in Sections 5, 6, 7, 16, and 17 apply fully to embedded Tools.
  • ToolWard is not liable for any third-party site's use of, or modifications to, embedded Tools.

If you access ToolWard via our API:

  • You must authenticate using valid credentials and comply with all rate limits and usage quotas.
  • You must not share your API credentials with third parties or use them in a manner that could compromise the security of the Service.

  • We reserve the right to modify, throttle, or discontinue API access at any time.
  • All disclaimers and limitations of liability in these Terms apply to API usage.

THE SERVICE, INCLUDING ALL TOOLS, CONTENT, FEATURES, AND FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOOLWARD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES THAT TOOL OUTPUTS WILL BE ACCURATE, RELIABLE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED
  • WARRANTIES THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE RESULTS OBTAINED FROM THE USE OF THE SERVICE

No advice or information, whether oral or written, obtained by you from ToolWard or through the Service shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOOLWARD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Personal injury or property damage resulting from your use of the Service
  • Any unauthorised access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar harmful code transmitted through the Service by any third party
  • Any errors or omissions in any Tool output or content
  • Any actions taken or decisions made based on Tool outputs, calculations, or generated content
  • Any adverse health, financial, legal, or other consequences resulting from reliance on Tool outputs

Liability Cap: In any event, ToolWard's total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the greater of: (a) the total amount you paid to ToolWard in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty United States dollars (USD $50.00).

The limitations in this section apply regardless of the legal theory on which the claim is based (whether in contract, tort, negligence, strict liability, warranty, or otherwise), even if ToolWard has been advised of the possibility of such damages, and even if a limited remedy is found to have failed of its essential purpose.

Some jurisdictions do not allow the limitation or exclusion of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

18. Indemnification

You agree to defend, indemnify, and hold harmless ToolWard, its directors, officers, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any User Content you submit; (e) your use of or reliance on any Tool output; (f) any actions or decisions you make based on information obtained through the Service; or (g) any claim that your use of the Service caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Subject to the arbitration clause in Section 20, any legal proceedings arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of competent jurisdiction in Lagos, Nigeria. You irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.

20. Dispute Resolution

20.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at help@toolward.com and attempt to resolve the dispute informally for at least 30 days.

20.2 Binding Arbitration

If the dispute cannot be resolved informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered in accordance with the Arbitration and Mediation Act of Nigeria (or its successor legislation). The arbitration shall take place in Lagos, Nigeria, shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

20.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ToolWard.

20.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

21. Termination

  • By ToolWard: We may terminate or suspend your access to the Service, in whole or in part, at our sole discretion, immediately and without prior notice, for any reason, including but not limited to a violation of these Terms. Upon termination, your right to use the Service ceases immediately.
  • By You: You may terminate your account at any time by contacting us at help@toolward.com or through your account settings. Termination does not entitle you to a refund of any prepaid fees, except as required by applicable law.
  • Effect of Termination: Upon termination, we will delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5-7 (disclaimers), 9 (intellectual property), 16-18 (warranty disclaimer, limitation of liability, indemnification), 19-20 (governing law, dispute resolution), and this provision.

22. Force Majeure

ToolWard shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, labour disputes, or failures of third-party service providers. During such events, our obligations under these Terms are suspended for the duration of the force majeure event.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.

24. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and ToolWard regarding the Service, and supersede all prior and contemporaneous agreements, understandings, negotiations, and proposals, whether written or oral, between you and ToolWard. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice (such as a banner on the Site or an email to registered users). Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and, if applicable, cancel your account.
